Job description

Based in Miami, Florida, the In-House Legal Counsel (USA) will provide expert legal guidance and ensure compliance across all aspects of our U.S. operations for the EU-based Mouratoglou Group. This role involves drafting, negotiating, and reviewing contracts, structuring new entities, and managing legal risks.

As the first in-house legal hire in the U.S., this individual will play a pivotal role in establishing the legal framework to support our expansion. They will work closely with our European headquarters, particularly the legal team in France, as well as with external advisers, to ensure alignment and robust legal governance across the group.

This role requires a proactive, business-oriented attorney admitted to a U.S. Bar, with strong experience in contracts, real estate, corporate law, and regulatory compliance.

In further details, the position covers the following responsibilities:

Contracts & Commercial Agreements

  • Draft, review, and negotiate a wide range of contracts, including service agreements, sponsorships, rental and lease agreements, vendor contracts, and partnership agreements.

  • Develop and implement standard contract templates and processes.

Real Estate & Facilities

  • Draft, review, and negotiate rental and lease agreements.

  • Manage legal aspects of property and facility leases, including negotiations, renewals, and compliance.

  • Advise on zoning, licensing, and local regulatory requirements affecting operations in Florida.

Corporate & Governance

  • Establish and maintain legal entities and structures for Mouratoglou International in the U.S.

  • Manage corporate governance matters, including drafting bylaws, board resolutions, and corporate filings.

  • Support M&A transactions alongside Group Legal, working closely with external counsel.

  • Ensure compliance with U.S. federal, state, and local laws.

Risk Management & Compliance

  • Identify potential legal risks and propose mitigation strategies.

  • Oversee compliance with employment, data protection, and intellectual property laws relevant to our operations.

  • Pre-litigation (demand letters, settlements, mediation, arbitration/ADR).

  • Insurance (portfolio oversight, broker liaison, renewals coordination, info collection, COI review, claims support with teams).

  • Coordinate with outside counsel when specialized expertise is required.

Leadership & Strategy

  • Serve as the primary legal advisor to U.S. teams and liaise with the global legal team in Europe in particular by ensuring alignment with Group Legal.

  • Support cross-functional teams (HR, finance, operations and business development) with legal advice.

Profile

  • Juris Doctor (JD) from an accredited law school.

  • Active membership in good standing with a U.S. Bar association.

  • Minimum 7–10 years of legal experience, ideally with both law firm training and in-house counsel experience.

  • Strong expertise in contract negotiation, real estate transactions and corporate law.

  • Experience with international structures or cross-border business is highly desirable.

  • Excellent judgment, business acumen, and ability to work autonomously in a fast-paced environment.

  • Fluent in English and French given the international scope of the business.
