Job description

To support our growth, we are looking for a Senior Corporate Officer/Board Advisor – Corporate Governance to reinforce the Board Advisory team of the Innpact group in charge of advising the Board of Directors of impact investment funds committed to generate positive, measurable social and environmental impact alongside a financial return.

The mission and role of the Board Advisory team:

  • The Board Advisory team aims to achieve high corporate governance standards for its clients and funds advised in providing advisory and management services. With the implementation of Good Governance practices and solutions the purpose is to foster sustainable impact finance companies and initiatives, and to create a material positive social and environmental impact.

  • The Board Advisory team supports the Boards of Directors of various impact investment funds in steering, managing and operate the funds for which the good corporate governance is at the heart of impact investing and all activities. These investment funds are complex structured private equity/private debt blended finance vehicles, which require extensive abilities in understanding their operational and legal set-ups.

                      

Your responsibilities:

  • Be the key contact person for the Board of Directors, and other governance bodies

  • Ensure the supervision, organization and coordination of the various tasks and actions related to the holding of the funds management bodies' meetings in an efficient and proactive manner.

  • Prepare and communicate agendas, support documents (memoranda and presentations), and minutes.

  • Participate and attend in-person or virtual Board and other governance bodies meetings, international travel is required

  • Proceed to a close follow-up of the and execute the implementation of the decisions taken and coordination with the relevant service providers of the funds.

  • Advise the Board of Directors, more particularly the chairpersons and other governance bodies in corporate and administrative matters and provide for the due observance and compliance to all applicable laws and regulations necessary for the good corporate governance of the funds.

  • Review and coordinate enhancements and changes to the structure of the investment funds with other service providers (custodian, administrative agent, legal counsel, auditor, investment manager/advisor).

  • Lead any updates to the constitutive documents of the funds (prospectus/issue document, articles, etc.) with the assistance of the legal counsel of the fund.

  • Review and coordinate the drafting, preparation and execution of investor related agreements (Commitment Agreements, Subscription Forms, amendments to such agreements, etc.) in collaboration with the various service providers of the funds.

  • Support the Board of Director’s and funds on various additional governance and corporate matters, such as coordinate and monitor on a continuous basis the list of mandates of the management bodies' members and prepare the suitability assessments of the management bodies (collective and individual).

  • Participate to key projects related to the governance of the funds and generally, support the Board of Directors and the representatives of the initiators/sponsors throughout the lives of the funds.

  • Depending on experience, supervise and train - under the lead of the Head of the Board Advisory  team - more junior members of the team.

 

Profile

Your experience and skills

  • A University graduate: bachelor or master’s degree in law or economics.

  • Knowledge of EU/Luxembourg company law and regulatory environment for investment funds.

  • Work experience: at least 5 years of a professional experience with investment funds and in a similar function and/or within a management company/AIFM, the banking/fiduciary sector or in a law firm.  

  • Native English preferred, otherwise fluency in both written and spoken English is a pre-requisite – German and/or French would be an asset.

  • Good systems skills including MS Office packages.

  • Excellent drafting skills.

  • Strong organizational and communication skills.

  • Pro-active, result oriented, flexible and rigorous.

  • Ability to work under pressure.

  • Ability to work both autonomously on own tasks, whilst working in a team environment.

  • High sense of confidentiality and work ethic.
